Article 1: Standard Payment Terms for Orders Under 1,500 ILS
1.1 New Clients
Clients placing their first order with Magen Dental Store are required to settle the full invoice amount in cash upon delivery of goods. This policy ensures secure transaction processing for initial business relationships and establishes a foundation of mutual trust between the parties.
1.2 Registered Clients
Clients who have completed at least one prior order with our establishment may benefit from enhanced payment flexibility. Such clients are entitled to one of the following payment options:
Option A — Deferred Payment: Payment of the complete invoice amount may be postponed for a period not exceeding fifteen (15) calendar days from the date of delivery, subject to prior written approval from our credit department.
Option B — Partial Cheque Payment: The client may provide a cheque covering up to fifty percent (50%) of the total invoice value, provided that the cheque's due date falls no earlier than one hundred twenty (120) days from the delivery date. The remaining balance must be settled in cash upon delivery.
Article 2: Enhanced Payment Terms for Orders Exceeding 1,500 ILS
2.1 Eligible Clients
Clients placing orders with a total value exceeding one thousand five hundred Israeli Shekels (1,500 ILS) may access improved payment arrangements designed to support larger-volume procurement needs.
2.2 Payment Structure
Such clients are entitled to settle up to sixty percent (60%) of the total invoice amount through cheque payments, subject to the following conditions:
The aggregate value of all cheques submitted must represent amounts due within a maximum period of one hundred fifty (150) days from the delivery date. The remaining forty percent (40%) of the invoice value must be paid in cash upon delivery of the ordered goods.
Article 3: Credit Agreement Terms for Orders Over 5,000 ILS
3.1 Credit Facility Eligibility
Clients placing orders with a total value exceeding five thousand Israeli Shekels (5,000 ILS) may qualify for a formal credit agreement. This arrangement is designed to accommodate businesses with extended financial cycles and substantial procurement requirements.
3.2 Credit Agreement Structure
Under this agreement, the client shall provide post-dated cheques with due dates extending up to twelve (12) months from the date of issuance. The value of these cheques shall represent between fifty and seventy-five percent (50%-75%) of the total invoice amount, with the specific percentage determined by mutual agreement based on the client's preferred cash payment deferral period.
3.3 Cash Component
The remaining percentage of the invoice (25%-50%) shall be settled in cash upon delivery of goods. The precise cash component shall be established during the credit application process and reflected in the signed credit agreement.
Article 4: General Terms and Conditions
4.1 Cheque Requirements
All cheques submitted under any payment arrangement must satisfy the following criteria:
The cheque must hold a credit classification of "A" or "B" as verified by the Palestinian Monetary Authority (PMA).
The cheque must be properly endorsed by the client drawing the cheque, indicating formal transfer of payment rights to Magen Dental Store.
4.2 Cash-Only Products
Certain product categories available through our catalog are designated as cash-only items and are excluded from all deferred payment and credit arrangements. Clients must settle the full amount for such products in cash immediately upon delivery. A current list of cash-only products is available upon request and is updated periodically.
4.3 Cash Payment Discount
Clients who elect to settle their invoices in full through cash payments shall be entitled to a discount of five percent (5%) on the total invoice value, calculated excluding cash-only products. This discount shall be applied without prejudice to any other eligible promotional offers or quantity-based discounts for which the client may qualify.
4.4 Credit Agreement Authorization
Credit agreements shall be established exclusively upon receipt of personal cheques issued by the authorized client. The credit limit established under such agreements may be expanded through the submission of endorsed cheques received from the client's own customers, subject to standard endorsement verification procedures.
Article 5: Implementation and Interpretation
5.1 Agreement Scope
These payment terms constitute an integral component of the commercial relationship between Magen Dental Store and its clients. By placing an order, the client acknowledges acceptance of these terms and conditions.
5.2 Modification
Magen Dental Store reserves the right to modify these payment terms at any time, with such modifications becoming effective upon fourteen (14) days' notice to existing clients. Updated terms shall be published on our official website and made available at our physical premises.
5.3 Dispute Resolution
Any disputes arising from the interpretation or application of these payment terms shall be resolved through good-faith negotiation between the parties. Failing amicable resolution, disputes shall be subject to the exclusive jurisdiction of the competent courts in the applicable jurisdiction.
